Company registration in Cyprus: the questions that come up most
The questions that come up most before registering a Cyprus company, answered with the rule behind each one and what the answer actually depends on.

Most of what people want to know before registering a Cyprus company has a short, definite answer, and the few questions that do not are the ones worth spending time on. An advocate is required, a registered office on the island is required, the name has to clear the Registrar first, and the filing itself is electronic. What varies is the tax position, whether an audit applies, and how long the documents from outside Cyprus take to arrive.
The ten questions that come up most
These are the ones that dominate first meetings and search traffic, in roughly the order they get asked.

Short answers
A lawyer is required. The declaration of compliance filed with the Registrar, form HE1, has to be sworn by an advocate practising in Cyprus. That is statutory, not an item a provider has added. What varies is whether the advocate is your main contact or a subcontractor to an accounting practice.
Incorporation itself is short; the sequence around it is not. Name approval comes first, then the memorandum and articles, then the filing, which the Registrar processes in a standard or an accelerated queue. Identification documents and bank onboarding sit outside that timetable and normally set the real date.
The cost splits into state fees and professional fees. The Registrar charges a flat registration fee plus a component calculated on the nominal share capital, with a separate name approval fee. Everything else — drafting, the HE1, the registered office, the secretary, the tax registrations — is professional fee and is quoted per engagement.
You do not have to travel. Filings are electronic and identification can be certified where the signatories are. What has to be in Cyprus is the registered office address, notified to the Registrar on form HE2.
Non-residents can own the whole company. There is no residence or nationality requirement for shareholders of a private company limited by shares.
A Cypriot director is not required by company law. It matters for tax rather than for registration, which is dealt with below.
There is no prescribed minimum capital for a private company. Because part of the registration fee is calculated on the nominal capital, a figure chosen to impress a counterparty is paid for at incorporation and again on any increase.
VAT is not automatic. Registration becomes compulsory once taxable supplies pass €15,600 in any twelve-month period, with separate triggers for services bought from abroad. Voluntary registration is available and is common where the company will be reclaiming input VAT from the start.
Audit depends on the company's size and circumstances, and it is the item most often underestimated when the first-year budget is set.
The recurring filings are the annual return and the tax return. Form HE32 is filed with the Registrar each year with financial statements attached, alongside the corporate tax return and, where the company employs anyone, monthly payroll and social insurance filings.
Where the answer depends
Four questions have no single answer, and these are where a provider earns the fee.
Where the company is tax resident. The test is management and control: where the board actually meets and decides. An incorporation test was added from 31/12/2022, under which a Cypriot company not tax resident anywhere else is treated as tax resident here. A structure with directors abroad can end up arguing residence with two authorities, and the answer determines which treaty positions apply. This belongs in the conversation before incorporation, not after the first year's accounts.
Whether an audit applies. Small companies and dormant companies are treated differently from trading groups, and the criteria turn on thresholds and on whether the company sits within a group. An accounting practice regulated through ICPAC can tell you which category the company falls into from the intended activity — worth asking before you commit to a structure.
Which registrations follow. A tax identification code is a separate registration with the Tax Department. VAT follows the threshold. Employing anyone means registering with the Social Insurance Services and running payroll from the first month. Some quotes include these, others invoice them afterwards.
Who you are engaging. Three regulated categories quote on this work. Advocates are admitted to the Cyprus Bar Association. Accounting and audit practices are regulated through ICPAC. Administrative service providers are a licensed category, supervised by CySEC or regulated through ICPAC or the Bar. A firm offering registered office, nominee and secretarial services should hold one of those positions, and asking which is a reasonable question.
What nobody asks but should
What happens if you leave. Transferring the registered office, the statutory registers and the secretaryship to another provider carries a fee at some firms and is smoother where the engagement letter says so in advance. Ask before signing, when the question is theoretical.
Who the secretary is. Every company has one, and where the provider appoints its own nominee, changing provider means changing officer. The cost and the notice period for that belong in the engagement letter.
Where official post lands. Notices from the Registrar and the Tax Department go to the registered office. Where that is the provider's address, you are relying on somebody else to forward a deadline. Where it is your own premises, you save the fee and take on the correspondence.
What the beneficial ownership register holds. Beneficial ownership details are filed with the register kept by the Registrar. Nominee shareholding does not remove that obligation, and keeping the filing current is the company's responsibility.
What dormancy does not excuse. A company with no trade still files an annual return with financial statements and still keeps a registered office. Companies that fall into arrears usually did so because both sides assumed the other was filing.
What closing costs. Strike-off and members' voluntary liquidation are different exercises with different costs and different timescales. Knowing which one applies is worth a question at the start, particularly for a company set up for a single project.

Common questions
How do I find the best company registration provider in Cyprus?
Comparison here rests on documents rather than on opinion. Confirm the advocate on the Bar Association register, confirm ICPAC membership for an accounting practice, and ask an administrative service provider which licence it holds. Then put the same request to each: incorporation price, year-two price, what is included, and what leaving costs.
Are there reviews or ratings of formation providers on this site?

Is there any advantage to a provider near me?
Registration is national and filed electronically, so location does not affect the process. Proximity matters when something has to be resolved at a counter in person, which is why the Nicosia district holds the deepest concentration of corporate practices. For most incorporations it is the least important variable in the decision.
Can I register the company myself and skip the professional fee?
Part of it, no. The HE1 declaration requires an advocate, so that step is unavoidable. The registered office, the secretary and the annual filings can be handled in-house if you have the capacity, and companies that try it usually underestimate the filing calendar rather than the paperwork.
What is the most common reason an incorporation runs late?
Name rejection and documents arriving from abroad. A name too close to an existing company comes back rejected and each attempt is a fresh application, so submitting alternatives at the outset is cheap insurance. Certified and apostilled identification from another jurisdiction runs on that country's timetable rather than on the Registrar's.
