What company formation costs in Nicosia, how the Registrar's fees, the advocate's fee and the annual service fees separate, and what moves a quote.

A quote for registering a company in Nicosia is three separate bills presented as one number: the Registrar's statutory fees, the advocate's fee for the constitutional documents, and the service fees for everything that keeps the company alive after day one. Providers bundle those three differently, which is the main reason two quotes for the same private limited company can look nothing alike.
The parts that are fixed by law are identical whether the provider sits in Nicosia, Limassol or Paphos. The parts that vary are the professional fees and what the first year includes.
Local market summary
Nicosia is the administrative centre of the process rather than one location among five. The Registrar of Companies and Intellectual Property is based here, as are the central offices of the Tax Department. Incorporation is filed electronically and can be handled from anywhere on the island, but the district concentrates the professional market around those counters: corporate law firms in the centre and Engomi, accounting and audit practices across Strovolos and Aglantzia, and licensed corporate service providers alongside both.
Three kinds of provider quote on this work, and they are regulated differently:
- Advocates. A Cyprus company cannot be incorporated without one: the declaration of compliance filed with the Registrar, form HE1, has to be sworn by an advocate practising in Cyprus. The legal step is a statutory requirement, not an extra somebody has added to the quote.
- Accounting and audit practices. Usually the provider that carries the company forward: bookkeeping, tax registrations, the annual return and the financial statements behind it. Members are regulated through ICPAC.
- Corporate service providers. Administrative service providers are a licensed category, supervised by CySEC or regulated through ICPAC or the Bar Association. A firm offering registered office, nominee and secretarial services should hold one of those positions, and it is a fair question to ask.
Many Nicosia offerings combine all three under one engagement letter, which is convenient and also where comparison gets difficult: the headline figure stops mapping onto any single piece of work.
What it costs here
Read any quote as four lines, whether or not the provider separates them.
The Registrar's own fees. Statutory and identical island-wide. The registration fee has two components: a flat charge, plus a percentage of the nominal share capital stated in the memorandum. There is also a separate name approval fee, and an accelerated option for applicants who need the filing dealt with ahead of the standard queue. Because part of the fee tracks nominal capital, a company set up with a large authorised capital for appearances costs more to register and more to increase later.
The advocate's fee. Covers drafting or adapting the memorandum and articles of association, the HE1 declaration and the filing itself. Standard articles for a straightforward trading company sit at the bottom of the range; tailored articles — share classes, reserved matters, pre-emption provisions — sit well above it, because that is drafting rather than form-filling.
First-year services. Registered office address, company secretary, maintenance of the statutory registers. Frequently discounted or waived in year one and charged in full from year two, which is worth reading closely before comparing two figures.
Post-incorporation registrations. The tax identification code, VAT where it applies, employer registration with the Social Insurance Services. Some Nicosia quotes include these, others price them separately or invoice afterwards.
Local conditions that change the job
The variables below move the figure far more than the choice of district does.
Name approval
The proposed name has to clear the Registrar before anything else is filed. Names too close to an existing company, or containing restricted words, come back rejected, and each attempt is a fresh application. Submitting two or three alternatives at the outset is the cheapest insurance available.
The nominal share capital you pick
Part of the registration fee is calculated on it. A capital figure chosen to impress a bank or a counterparty is paid for at incorporation and again on any later increase.
Non-resident shareholders and directors
Certified passport copies, proof of address, and in many cases apostilled or translated documents from another jurisdiction. These sit outside every Cypriot timetable, and for cross-border structures they are normally the critical path rather than the Registrar.
Where the registered office sits
Every company must keep a registered office in Cyprus, notified on form HE2. Using the provider's Nicosia address is the common arrangement and carries a recurring fee; using your own premises removes the fee and puts the burden of receiving official correspondence on you. Notices from the Registrar and the Tax Department go to that address.
What follows incorporation
A tax identification code is a separate registration with the Tax Department. VAT registration becomes compulsory once taxable supplies pass €15,600 in any twelve-month period, with separate triggers for services bought from abroad. Employing anyone means registering with the Social Insurance Services.
Bank or EMI account opening
Not part of registration at all, and consistently the slowest item in the sequence, because compliance onboarding runs on the institution's timetable. A provider who prepares the account file alongside the incorporation documents shortens that wait; one who hands over a certificate and stops does not.
Timing matters too. Nicosia has none of the tourist seasonality that shapes work in Paralimni or Ayia Napa, but counter hours at government departments are shorter over the summer, and a filing that needs signatures from three people is harder to land in the second half of August than in October.

Four checks are worth making yourself before appointing one.
Confirm the advocate signing the HE1 is on the Bar Association's register of practising advocates. Ask who is being appointed as company secretary and what it costs to change that later. Get the engagement letter to state what happens on exit — transferring the registered office and statutory registers to another provider carries a fee at some firms. And check who files the annual return: HE32 is due each year with accounts attached, and companies that drift into arrears usually did so because both sides assumed the other was handling it.

Common questions
Do I need a lawyer to register a company in Nicosia?
Yes. The declaration of compliance filed with the Registrar has to be sworn by an advocate practising in Cyprus, so one is involved in every incorporation regardless of who else is engaged. What varies is whether that advocate is your main point of contact or a subcontractor to an accounting practice.
How long does incorporation take?
The Registrar's processing time depends on the queue and on whether the accelerated option is used, and it is short relative to the whole exercise. Name approval comes first, document preparation depends on how quickly identification arrives, and account opening follows on its own timetable. For a company with resident shareholders and standard articles the sequence is measured in weeks; for a cross-border structure waiting on apostilled documents, considerably longer.
Can it be done without coming to Nicosia?
Yes. Filings with the Registrar are electronic and the identification documents can be certified where the signatories are. The requirement that attaches to Cyprus is the registered office address, which has to be a real, reachable address on the island — most often the provider's.
Are there reviews of company registration firms in Nicosia?
Not on this site. Listings record what can be checked against a register: professional admission, licensing category, district and specialism. Asking each provider for the same four-line breakdown set out above tends to be more revealing than any ranking.
What does the company cost to keep running each year?
The recurring items are the annual return with accounts attached, the corporate tax return, registered office and secretarial services, and the accounting work behind the financial statements. Whether an audit is required depends on the company's size and circumstances, and it is the item most often underestimated at the point of incorporation.
Is a Nicosia provider better than one in another district?
Filing is national and electronic, so location does not affect the process itself. What Nicosia offers is proximity to the Registrar and the Tax Department when something has to be resolved in person, and a professional market that has grown up around those two counters.
