Company registration in Paphos — what it costs and what moves the fee

A Paphos firm quoting for company registration is pricing three different things that usually arrive as one figure: the incorporation itself, the documents an advocate has to sign for the Registrar to accept the file, and the first year of keeping the company alive afterwards. The district ranges sit in the table below, read at page load rather than typed into this article. What moves a quote inside them has little to do with the Registrar, whose own charges are the same whether the file is prepared in Paphos or in Nicosia. It is the shareholder structure, where the shareholders' documents come from, and how much of the first year the quote covers.
Local market summary
Incorporation in Cyprus is a national act. Companies are registered under the Companies Law Cap. 113 by the Department of Registrar of Companies and Intellectual Property, on one register, through one online system, so a company formed by a Paphos office and one formed in Larnaca are identical objects on it. What differs is who prepares the file and how far the client sits from a desk when something has to be signed by hand.
Paphos has a distinct profile on both counts. The district holds a large resident foreign population and a property market dominated by non-Cypriot buyers, so a high share of formations here are property-holding companies, family investment vehicles and small service businesses set up by people whose identity documents were issued somewhere else. That single fact — documents from abroad — is the most reliable predictor of what the engagement costs and how long it runs.
The professional base sits in Paphos town, around the courts and the Ktima administrative offices, with satellite practices in Kato Paphos, Chloraka and Peyia serving the coastal residential belt. Three kinds of firm quote for the same enquiry, and they are regulated differently:
Advocates admitted to the Cyprus Bar. The memorandum and articles reach the Registrar with a declaration signed by an advocate, so a lawyer sits inside every incorporation whether or not the client meets one. Accounting practices, held on the ICPAC register, usually lead tax registration, bookkeeping and statutory accounts and route the incorporation through an advocate. Administrative service providers supply registered office, company secretary and nominee arrangements — a licensed activity, through CySEC, ICPAC or the Cyprus Bar Association, and the licence is a fair question before anything is signed.
A quote bundling all three without saying who does which part is not cheaper; it is less legible.
What it costs here
Read them together: the national table shows what the work costs across the Republic, the district table where Paphos sits inside that. Every figure carries the number of quotes behind it and the month it was recorded. Fees themselves come in three parts, and a comparable quote separates them.
The incorporation fee covers the name approval application, the memorandum and articles, the advocate's declaration and the filing. It is normally fixed. What lifts it is drafting rather than filing: standard articles cost less than articles written around a shareholders' agreement, two classes of shares, or a board that needs reserved matters.
Disbursements are the Registrar's own charges, passed through. They belong on the quote as a separate line, noted as set by the Registrar and able to change independently of the firm's fee.
First-year recurring costs are where quotes diverge most. Registered office, company secretary, the annual return with financial statements, tax registration, bookkeeping and the audit or review are separate services. A formation price with none of them attached is a real price for an incomplete year.
The variables that move a Paphos quote inside its range are consistent: the number of shareholders and directors, whether any shareholder is a company rather than a person, whether documents have to be apostilled and translated, whether nominee arrangements are involved, whether a bank introduction is in scope, and whether the VAT treatment of the fee itself is stated. Ask for the fee in writing with each of those answered yes or no.
Local conditions that change the job
Documents arriving from abroad. A shareholder resident outside Cyprus supplies identification, proof of address and, for corporate shareholders, constitutional documents. Those are accepted with an apostille under the Hague Convention, and where they are not in English or Greek a certified translation goes with them. The timing belongs to the issuing authority overseas rather than to the Paphos office, which is why a firm asking for the full document list on day one is doing the client a favour.
That information is requested because the firm is legally obliged to request it, and beneficial owners are then recorded in the register kept by the Registrar. A provider who treats the step as a formality is showing how the rest of the file gets handled.
Banking, not filing, is the bottleneck. The company exists once the Registrar issues the certificate. Opening an account for it is a separate process, run by a separate institution on its own timetable and risk appetite, and a structure with no operating substance in Cyprus is the common reason an application stalls.
Property-holding structures. Many Paphos formations exist to hold a house or a plot, which puts the incorporation next to a conveyancing file — title, searches, the transfer at the Land Registry. Sequence the two deliberately: moving property into a company after purchase is a more expensive transaction than buying in the company's name. Short-term letting is regulated separately, and registering a company does not register the property.
Distance for wet signatures. Most filings are electronic, but originals still have to be signed. From Polis Chrysochous the drive to the professional base in Paphos town adds real travel time to anything needing attendance in person, and firms either bill that as a travel charge or build it into the schedule. Common questions
Does a company have to be registered in the district where it trades?
No. There is one national register at the Registrar of Companies, and a company registered through a Paphos office can trade anywhere in the Republic. The registered office is a legal address for service rather than a trading requirement. District matters for attendance at signings, the district tax office, and local knowledge of the municipal processes around any property the company holds.

How long does registration take?
The controlling variable is document readiness, not the Registrar's queue. Name approval comes first and can be refused where a name sits too close to an existing one or contains a restricted word, which restarts that step. Once the name is approved and identification for every shareholder, director and beneficial owner is complete and apostilled where required, the filing is the short part. Files stall on documents travelling from another country.
What has to happen after the company exists?
Registration with the Tax Department follows within 60 days of incorporation. VAT registration becomes compulsory once taxable supplies pass €15,600 in any twelve-month period, which a seasonal Paphos business can cross inside one summer. An employer registers with the Social Insurance Services before the first employee is paid, and an annual return with the financial statements goes to the Registrar each year. Can a non-resident own a Cypriot company outright?
Yes — there is no residency requirement for shareholders, and full foreign ownership is ordinary in Paphos. Residency bears on tax rather than ownership: management and control, the residence of directors and where board decisions are taken affect how the company is treated, which is a question for a tax adviser before incorporation.
